Sylvanilla® is a registered trademark with the IGE | IPI under No. 13087/2023. The website www.sylvanilla.ch is edited by Sylvie Polano, founder of Sylvanilla and its entire contents (text, sounds, images, photographs, diagrams, logos, trademarks, etc.) are Sylvanilla®' property, protected by Swiss intellectual property law. Any copy or reproduction is prohibited unless subject to prior and express authorization from the founder of Sylvanilla®.

To access the entire content of the website and earn loyalty points you must sign-in and be logged in as member. Membership is completely free, allow you to save from your first order, and allow us to discourage resellers and prevent spying and copyright infringement. Your access is personal, secured and granted on approval basis. If you share your personal access, this access is not granted anymore, and will be restricted or blocked. You do not need to sign-in to add in cart and order from a desktop or the desktop version of a mobile. You can still sign-in later on, and eventually receive the loyalty points related to your first order.

SCOPE OF APPLICATION

These General Terms and Conditions regulate all sale contracts entered into between Sylvanilla® and the Customer/Buyer via our website www.sylvanilla.ch. Each contract is subject to the general terms of sale published on the website at the time of purchase. Sylvanilla® will not accept any derogation from these General Terms and Conditions, unless expressly agreed in writing by Sylvanilla® itself. Acceptance of our offerings and supplies implies acceptance of the terms and conditions provided below.

SALES TERMS AND CONDITIONS

By confirming your order, you accept the general conditions of sale of the company Sylvanilla® via the sales websites sylvanilla.ch, sylvanilla.fr and sylvanilla.com. The information entered by the Customer engages its responsibility for the selections of vanilla chosen as well as the quantities validated for each of them. The Customer is responsible for correctly entering the delivery address where he wishes to receive his order. Sylvanilla cannot be held responsible in the event of incorrect entry by the Customer and cannot in this case be held responsible for the non-delivery of the Customer's order. The Customer's order is taken into account when it is actually paid according to the payment method used online or offline.

Orders are managed according to their order of arrival off and on the website. Stocks are updated monthly and when a product is no longer immediately available in stock you may place a pre-order to secure a quantity from the next harvest. After validation of the order by the Customer, Sylvanilla® website automatically sends an email confirming receipt of the customer' order and payment, as well as the related tracking number and expected delivery period. Incoterms® 2020 DDP for all deliveries in Switzerland, and DAP for all other destinations (unless otherwise mentioned). Buyer is responsible for import clearance and duties. Please verify the import regulations and restrictions in the destination country. The shipment tracking number is provided upon payment reception. Delivery times can vary depending on the destination country, including custom clearance (DAP). For all shipments the estimated delivery date will be confirmed by the tracking system of the shipping company. The time indicated might be subject to delays due to custom clearance process, a case of force majeure or events beyond our control (strikes, damage, etc.).

Estimated delivery timing: 24 to 48h to Switzerland, 3 to 5 business days to Europe and 5 to 10 business days to other worldwide destinations.

Update 07.04.2026 Shipping goods to the USA is possible if the following conditions are met: Goods declared as gifts are sent from one private individual to another only for a declared value not exceeding 100 USD (approximately 80 CHF). Above, all consignments of goods with a maximum value of 800 USD may only be sent using the additional PDDP service. We issue your shipping documents with a Web-Stamp online service, pay and charge you by invoice the postage and customs duties. Shipments with a value exceeding 800 USD do not require PDDP service.

PRICES

For the convenience of international visitors, the Website display prices in currencies based on the visitor’s presumed location and through the use of an Exchange rates provided by XE. By clicking “Add to Cart,” you agree to XE’s Terms of Use. Any display in a currency other than CHF is provided for information and transaction purposes and does not constitute a binding contractual price in that foreign currency. Displayed prices in foreign currencies are subject to exchange rate fluctuations and may therefore vary at any time, including between visits to the Website, between the time of product selection and checkout, or as a result of updates to the conversion data source used by the Website. Such variations shall not affect the validity of the base price established in CHF. In the event of any discrepancy, inconsistency, delay, rounding difference, conversion error, or variation between the price displayed in CHF and the price displayed in any other currency, the price in Swiss francs (CHF) shall prevail in all circumstances.

Where payment is made in a currency other than CHF, the final amount charged to the customer may vary depending on the exchange rate applied by the payment service provider, card issuer, bank, or other financial intermediary at the time the transaction is processed. Additional bank charges, foreign transaction fees, conversion commissions, or similar costs imposed by third parties may apply and remain exclusively at the customer’s expense. Sylvanilla® shall not be held liable for any such differences, charges, or fluctuations beyond its direct control. By placing an order on the Website, the customer acknowledges and accepts the currency conversion display and expressly agrees that the legally binding product price is the price stated in CHF at the time of purchase.

Price are without VAT and without shipment. Shipment cost is calculated during checkout once the customer fulfil the delivery location and offered from 100- CHF in Switzerland / 300 Euro of purchase in Europe. Professionals customers benefit of negotiated prices according the origin, specie and related quantity, for minimum order of 1kg. If the reduction is not automatically applied at checkout you can contact us by email for price and order confirmation. SHIPMENT

Shipment cost is calculated during checkout once the customer fulfil the delivery location and offered from 100- CHF in Switzerland / 300 Euro of purchase in Europe. Packages are shipped by SwissPost up to 30kg, and above by DPD, UPS, Fedex or DHL. Incoterms® 2020 DDP for all deliveries in Switzerland, and DAP for all other destinations (unless otherwise mentioned). Buyer is responsible for import clearance and duties. Please verify the import regulations and restrictions in the destination country. The shipment tracking number is provided upon payment reception. In the absence of the buyer on delivery, the carrier will notify their delivery attempt and provide guidance on how to pick up the package or on when they will next deliver the package. If the carrier is unable to deliver the goods for reasons related to the customer (absence, wrong address, insufficient details, etc.) and over two unsuccessful delivery attempts, Sylvanilla® may not be held liable for any delays in delivery. If the goods happen to be suddenly out of stock after an order is placed, we will inform the customer immediately who may then choose other varieties or origins to be delivered instead, or a refund. In the first case, we will not charge the customer above all sums already paid. Products will be delivered without additional cost to the address provided by the customer on ordering.

PAYMENT AND DELIVERY

Incoterms® 2020 DDP for all deliveries in Switzerland, and DAP for all other destinations (unless otherwise mentioned). Buyer is responsible for import clearance and duties. Please verify the import regulations and restrictions in the destination country. The shipment tracking number is provided upon payment reception. Orders paid online and offline usually takes 1 to 2 business days and are immediately available for pick-up in our boutique, or are sent out upon receipt of your payment. By confirming the order, the customer confirms having all authorizations required in regards to importation in his country and the related duty and to pay for the order. We reserve the right to refuse an order from a customer who has failed to pay a previous order or on which an unresolved dispute exists.

TITLE AND RISKS, RETENTION OF TITLE

The title and risks pass from the Seller to the Buyer according to the Incoterms® 2020 DDP for all deliveries in Switzerland, or DAP for all other destinations, unless otherwise agreed in the sales and purchase agreement. Import custom clearance duty is Buyer responsibility in the destination country. In all cases Sylvanilla® reserves the right of ownership of its goods until full payment of the value of the goods by the Customer/Buyer.

LOYALTY POINTS

Sylvanilla® Loyalty Program allow customers to become members and access to more content, earn points and turn them into rewards. Customers sign up and earn 100 points instantly, and 1 point for every 1 CHF of purchase. Loyalty point can be used to pay at checkout (10 Points = 1 CHF) or redeem for rewards. LIMITATION OF LIABILITY

The vanilla offered strictly comply with the Swiss and the European legislation and food regulations. Since vanilla pods are natural products with slight variations in texture, colour and size, the pictures of the vanilla pods are not contractual. In no event shall either party be liable for loss of profits or indirect, special, exemplary or punitive, or consequential damages. Pursuant the Swiss Consumer Code: the withdrawal period of seven days does not apply.

FORCE MAJEURE

Sylvanilla® is exempt from any liability for total or partial non-compliance with the obligations contained in these General Conditions of Sale when this non-compliance is caused by unforeseeable and/or natural events beyond the control and responsibility of Sylvanilla®, including including, by way of example, but not limited to, natural events (disasters), acts of terrorism, wars, civil uprisings, connectivity malfunctions, electricity shortages, general strikes by public and/or private workers, strikes and/or road access restrictions for couriers and air connections.

DISPUTES

Any dispute of any cause or nature will be exclusively subject to the jurisdiction of the Commercial Court of Switzerland, even in the case of introduction of third parties or multiple defendants.
