Polano and its entire contents (text, sounds, images, photographs, diagrams, logos, trademarks, etc.) are Sylvanilla®' property, protected by Swiss intellectual property law. Any copy or reproduction is prohibited unless subject to prior and express authorization from Sylvanilla®, registered company in Zurich commercial register under number CH-020.1.094.042-1, IDE CHE-435.180.212.


SCOPE OF APPLICATION

These General Terms and Conditions regulate all sale contracts entered into between Sylvanilla® and the Customer/Buyer via our website www.sylvanilla.ch. Each contract is subject to the general terms of sale published on the website at the time of purchase. Sylvanilla® will not accept any derogation from these General Terms and Conditions, unless expressly agreed in writing by Sylvanilla® itself. Acceptance of our offerings and supplies implies acceptance of the terms and conditions provided below.


SALES TERMS AND CONDITIONS

By confirming your order, you accept the general conditions of sale of the company Sylvanilla® via the sales websites sylvanilla.ch, sylvanilla.fr and sylvanilla.com. The information entered by the Customer engages its responsibility for the selections of vanilla chosen as well as the quantities validated for each of them. The Customer is responsible for correctly entering the delivery address where he wishes Sylvanilla® to ship and deliver his order. Sylvanilla cannot be held responsible in the event of incorrect entry by the Customer and cannot in this case be held responsible for the non-delivery of the Customer's order.

 

The Customer's order is taken into account when it is actually paid according to the payment method chosen: Twint, Credit card, Bank transfer, Cash and Loyalty points. Orders are managed according to their order of arrival on the website. Stocks are managed in real time and when a product is no longer immediately available in stock you may place a pre-order to secure a quantity from the next harvest. After validation of the order by the Customer, Sylvanilla® website automatically sends an email confirming receipt of the customer' order and payment, as well as the related tracking number and expected delivery period. Orders are shipped within 24 hours (working days) upon payment confirmation. Delivery times can vary depending on the destination country, from 1 to 10 working days with custom clearance. For all shipments the estimated delivery date will be confirmed by the tracking system of the shipping company. The time indicated might be subject to delays due to custom clearance process, a case of force majeure or events beyond our control (strikes, damage, etc.). 

Estimated delivery timing: 24 to 48h to Switzerland, 3 to 5 business days to Europe and 5 to 10 business days to other worldwide destinations.

PRICES

Price are without VAT and without shipment. Shipment cost is calculated during checkout once the customer fullfil the delivery location and offered* from 100- CHF in Switzerland / 300 Euro of purchase in Europe. Professionals customers benefit of negotiated prices according the origin, specie and related quantity, for minimum order of 2kg up to 30kg. The reduction is automatically applied at checkout. SHIPMENT

Shipment cost is calculated during checkout once the customer fullfil the delivery location and offered* from 100- CHF in Switzerland / 300 Euro of purchase in Europe. Packages are shipped by SwissPost up to 30kg, and above by DPD, UPS, Fedex or DHL. A tracking number is provided for all shipments. In the absence of the buyer on delivery, the carrier will notify their delivery attempt and provide guidance on how to pick up the package or on when they will next deliver the package. If the carrier is unable to deliver the goods for reasons related to the customer (absence, wrong address, insufficient details, etc.) and over two unsuccessful delivery attempts, Sylvanilla® may not be held liable for any delays in delivery. If the goods happen to be suddenly out of stock after an order is placed, we will inform the customer immediately who may then choose other varieties or origins to be delivered instead, or a refund. In the first case, we will not charge the customer above all sums already paid. Products will be delivered without additional cost to the address provided by the customer on ordering.

LOYALTY POINTS

Sylvanilla® Loyalty Program allow customers to earn points and turn them into rewards. Customers sign up and earn 100 points instantly, and 1 point for every 1 CHF / Euro of purchase. PAYMENT AND DELIVERY

Deliveries are made worldwide and as defined in the order:
*** Orders paid online are sent out immediately upon receipt of payments which usually takes up to 5 business to reach us.
*** Orders paid offline, either by cash, by card, by Twint and by express bank transfer usually takes 1 to 2 business days and are immediately available for pick-up in our boutique, or are sent out upon receipt of your payment which usually takes 1 to 2 business days if you pay by Twint, by card, or by bank transfer.

By confirming the order, the customer confirms having all authorizations required in regards to importation in his country and the related duty and to pay for the order. We reserve the right to refuse an order from a customer who has failed to pay a previous order or on which an unresolved dispute exists.

PREMIUM QUALITY GUARANTEE

We wish to deliver only Premium Quality from the Agroforestry and understand that despite our rigorous inspection, nature at time has it own surprise. In any case, we will take care of your query and answer within the best timing. The Premium Quality Guarantee the free exchange of non-compliant goods at our cost. Simply follow the 3 steps below:

To be receivable: 
1- The claim must be made not later than 72 hours after delivery, 
2- The claim must be sent to us by email at contact@sylvanilla.ch,
3- The claim must be supported with a picture of the non-compliant goods.

Please note that in case of damage on the package, or on the glass tubes, the report must be directly made to the delivery service of the carrier (form CN24) with mention of any anomalies found on the package (damage, deterioration, leak, etc.) and on the goods if any, and a copy sent to Sylvanilla® within 72 hours by email at contact@sylvanilla.ch. Since you benefit from a Premium Quality Guarantee, we will exchange the non-compliant goods free of charge. An exchange will be sent at the same address given in the original order within 5 weeks from the date of the claim or the reception date of the returned non-compliant goods. In all cases the non-compliants goods must be returned to us.

TITLE AND RISKS, RETENTION OF TITLE

The title and risks pass from the Seller to the Buyer according to the incoterm (2020) agreed in the sales and purchase agreement. Without mention of an incoterm by the buyer the shipment will be made DAP / Delivery at Place. Import custom clearance by the Buyer in the destination country. In all cases Sylvanilla® reserves the right of ownership of its goods until full payment of the value of the goods by the Customer/Buyer.


LIMITATION OF LIABILITY

The vanilla offered strictly comply with the Swiss and the European legislation and food regulations. Since vanilla pods are natural products with slight variations in texture, color and size, the pictures of the vanilla pods are not contractual. In no event shall either party be liable for loss of profits or indirect, special, exemplary or punitive, or consequential damages. Pursuant the Swiss Consumer Code: the withdrawal period of seven days does not apply.

FORCE MAJEURE

Sylvanilla® is exempt from any liability for total or partial non-compliance with the obligations contained in these General Conditions of Sale when this non-compliance is caused by unforeseeable and/or natural events beyond the control and responsibility of Sylvanilla®, including including, by way of example, but not limited to, natural events (disasters), acts of terrorism, wars, civil uprisings, connectivity malfunctions, electricity shortages, general strikes by public and/or private workers, strikes and/or road access restrictions for couriers and air connections.


DISPUTES

Any dispute of any cause or nature will be exclusively subject to the jurisdiction of the Commercial Court of Switzerland, even in the case of introduction of third parties or multiple defendants.

Subject to legal exceptions under the Swiss Intellectual Property Code, any copy or reproduction and/or communication of all or part of the website's content is subject to prior and express authorization from Sylvanilla. Photos of vanilla pods are not contractual since vanilla pods are natural products with slight variations in texture, color and size. All pictures of the vanilla pods as well as the pictures and map of the agroforestry farms are taken and produced by Sylvie Polano for Sylvanilla® and subject to copyright. The use or copying of texts, photos and map is subject to prior agreement from Sylvanilla®.

The information entered into Sylvanilla®' website during the Customer's order is solely necessary for the management of the order by Sylvanilla® and its carrier Swisspost. Sylvanilla® does not retain data relating to the customers' bank cards following payment.
